Terms of Service

1. Acceptance of these terms

These Terms of Service (the "Terms") form a binding agreement between you ("Customer", "you") and Laneflow ("Laneflow", "we", "us"). By creating an account, downloading the desktop application, or otherwise using the Laneflow service (the "Service"), you confirm that you have read, understood, and accepted these Terms in full.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.

2. Service description

Laneflow is an orchestration platform consisting of (i) a hosted control plane and (ii) a desktop application that the Customer installs on their own machine. The desktop application, under the Customer's direction, invokes third-party AI coding agents (such as OpenAI Codex and Anthropic Claude Code) using API credentials supplied by the Customer.

When run, those agents may, among other actions, read and write files on the Customer's machine, modify source code, execute shell commands, perform git operations (including commits, merges and pushes), install dependencies, start services, deploy to third-party infrastructure, and consume credits or paid resources on third-party services using the Customer's credentials. The Customer acknowledges and accepts that the Service operates in this manner.

Laneflow does not resell, proxy, or warrant the output of any third-party AI model. The Customer's relationship with each AI model provider is governed exclusively by that provider's own terms.

3. Customer acknowledgements regarding autonomous agents

The Customer expressly acknowledges and agrees that:

  • AI agents are non-deterministic and may produce incorrect, incomplete, insecure, infringing, or harmful output, including code that does not work, deletes data, exposes secrets, or causes financial loss.
  • The Customer is solely responsible for reviewing, testing and approving any output before it is committed, deployed, or otherwise relied upon.
  • The Customer is solely responsible for maintaining current backups of any code, data, configuration, repositories, and infrastructure on which the Service operates, and for using version control and isolated environments where appropriate.
  • The Customer is solely responsible for restricting the agents' access (via filesystem permissions, environment variables, network rules, or otherwise) to the resources the Customer is willing to expose.
  • Any deployment, publication, or external action initiated through the Service — whether by the Customer directly or by an autonomous agent acting on the Customer's instructions — is performed at the Customer's sole risk.
  • The Customer assumes full responsibility for any third-party charges incurred through use of the Service, including but not limited to charges from AI model providers, cloud hosting providers, payment processors, and other infrastructure or service providers.

The Customer waives any claim against Laneflow arising out of, or in connection with, the matters described in this section, except to the extent that such waiver is prohibited by applicable law (see Section 13).

4. Subscription, billing and seats

  • Subscriptions are charged at EUR 20 per seat per month, billed monthly in advance via Stripe.
  • Subscriptions auto-renew at the end of each billing period unless cancelled before renewal.
  • Prices are exclusive of VAT and any other applicable taxes, which may be added at checkout depending on jurisdiction.
  • Each seat permits one active session at a time, enforced by short-lived server-side leases. Sharing seat credentials across multiple individuals is not permitted.
  • We reserve the right to change pricing on at least 30 days' notice to existing subscribers. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
  • Failed payments will be retried by Stripe. Subscriptions remaining unpaid after a 7-day grace period may be suspended without further notice.

5. Acceptable use and prohibited use

You agree not to use the Service to:

  • Violate any applicable law, regulation, sanction, or third-party right.
  • Develop, train, deploy or operate any system intended for use in life-critical, life-supporting, life-sustaining, medical, surgical, nuclear, weapons, aviation, mass-transit, or other high-risk safety contexts where failure could reasonably be expected to result in death, personal injury, severe environmental damage, or critical infrastructure disruption.
  • Process or generate child sexual abuse material, non-consensual intimate imagery, content designed to defame or harass, or content that infringes intellectual property rights.
  • Reverse-engineer, decompile, scrape, or copy any server-side playbook, foundation manual, prompt strategy, or other proprietary content delivered by the control plane, or attempt to circumvent any access control, seat limit, or rate limit.
  • Resell, sublicense, white-label, or expose the Service as a product to third parties without a separate written agreement.
  • Facilitate abuse of any third-party service, including AI model providers, hosting providers or payment processors.
  • Introduce malicious code, conduct denial-of-service attacks, or otherwise interfere with the integrity or security of the Service or its users.

You are solely responsible for the content, prompts, instructions, code and outputs that you, your team, or any AI agent acting on your instructions, produce, run, or deploy through the Service.

6. Customer credentials and third-party services

You may configure the Service to access third-party services on your behalf, including AI model APIs, cloud providers, source-control hosts, deployment platforms, and other tools. You provide and remain solely responsible for all such credentials, API keys, tokens and secrets, including their generation, storage, scoping, rotation, and revocation.

Laneflow does not custody your AI provider keys or your infrastructure credentials, and is not a party to your relationship with any third-party provider. You are solely responsible for all fees, overage, abuse charges, and other amounts incurred on those services as a result of your use of the Service, whether initiated directly by you or by an autonomous agent acting on your instructions.

You agree to use credentials with the minimum scope required and to monitor third-party usage through the relevant provider's billing and audit tools. Laneflow shall have no liability for any cost, loss, breach, or damage arising from the use, misuse, leakage, theft, or unauthorised use of any credential supplied or configured by you.

7. Intellectual property

  • Laneflow IP. The Service, the control plane, the desktop application, the foundation manuals, the role manuals, the prompt strategy, all related documentation, and all improvements thereto are and remain the exclusive property of Laneflow. Nothing in these Terms transfers any ownership to you, except for the limited, non-transferable, non-exclusive, revocable licence to use the Service in accordance with these Terms.
  • Customer content. You retain all right, title and interest in the source code, documentation, task files, workspace overlays, and other content you create or upload ("Customer Content"). You grant Laneflow a limited, non-exclusive licence to host, process and transmit Customer Content solely to the extent necessary to operate, secure and improve the Service for you.
  • Generated output. Output produced by an AI agent on your machine and stored in your repositories belongs to you, subject to (i) any underlying third-party intellectual-property rights and (ii) the terms of the AI provider that produced the output. Laneflow makes no warranty as to the originality, ownership, or non-infringement of any AI-generated output.
  • Feedback. If you submit suggestions or feedback, you grant Laneflow a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback without restriction or obligation to you.

8. Confidentiality and data

Each party agrees to protect the other party's confidential information using at least the same degree of care it uses to protect its own confidential information of like importance, and in no event less than reasonable care.

Laneflow's processing of personal data is described in our Privacy Policy, which forms part of these Terms. Where required, the parties will enter into a separate Data Processing Agreement.

9. Suspension and termination

  • You may cancel your subscription at any time through the billing portal. Access continues until the end of the current paid period; no partial-month refunds are issued.
  • We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have breached these Terms, created a risk of legal liability for us or another user, or otherwise misused the Service.
  • On termination, your right to use the Service ends immediately. Sections 3, 5, 6, 7, 8, 10, 11, 12, 13, 14, 15, 16 and 17 survive termination.
  • Following termination you remain solely responsible for retrieving any Customer Content you wish to retain. Laneflow has no obligation to retain such content beyond a reasonable wind-down period.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LANEFLOW DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, reliability, title, and non-infringement;
  • Any warranty that the Service will be uninterrupted, secure, error-free, free of harmful components, or that defects will be corrected;
  • Any warranty regarding the correctness, suitability, security, originality, ownership, performance, completeness, or non-infringement of any output produced by an AI agent through the Service;
  • Any warranty that the Service will meet your requirements or produce any particular result.

No advice or information, whether oral or written, obtained from Laneflow or through the Service, shall create any warranty not expressly stated in these Terms.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SAVE FOR THE EXCLUSIONS IN SECTION 13:

  • Laneflow shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, contracts, or anticipated savings, in each case whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if Laneflow has been advised of the possibility of such damages.
  • Laneflow shall not be liable for any loss, corruption, deletion, unauthorised disclosure, or unauthorised modification of source code, repositories, files, data, or infrastructure resulting from the operation of an AI agent on your machine, the execution of any command on your machine, the use of any credential supplied by you, the deployment of any artefact, or the consumption of any third-party paid resource.
  • Laneflow shall not be liable for any act, omission, output, charge, breach, or other conduct of any third party, including but not limited to AI model providers, cloud or hosting providers, source-control hosts, deployment platforms, or payment processors.
  • Laneflow's total aggregate liability arising out of or relating to these Terms or the Service, in any twelve (12) month period, shall not exceed the greater of (a) the total fees actually paid by you to Laneflow during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100).

You acknowledge that the fees charged for the Service reflect this allocation of risk, and that Laneflow would not provide the Service on these economic terms without these limitations.

12. Customer indemnification

You agree to defend, indemnify, and hold harmless Laneflow and its directors, officers, employees, contractors and agents from and against any and all third-party claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to (i) your use of the Service, (ii) Customer Content, (iii) any output produced, executed, committed, deployed or otherwise relied upon as a result of your use of the Service, (iv) your violation of these Terms or any applicable law, (v) your infringement of any third-party right (including intellectual property and privacy rights), or (vi) any breach or unauthorised use of any credential supplied or configured by you.

13. Mandatory exclusions

Nothing in these Terms shall exclude or limit either party's liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) gross negligence or willful misconduct; or (iv) any other liability that cannot be excluded or limited under applicable mandatory law.

If you are a consumer in a jurisdiction whose mandatory law grants you statutory rights that cannot be waived, nothing in these Terms is intended to affect those rights. The disclaimers and limitations in Sections 10 and 11 apply only to the maximum extent permitted by applicable law.

14. Force majeure

Laneflow shall not be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, riots, terrorism, pandemics, government action, sanctions, internet or telecommunications failures, third-party service outages, denial-of-service attacks, or unavailability of AI model providers.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or via an in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service before the effective date.

16. Governing law and jurisdiction

These Terms are governed by the laws of Ireland, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Ireland for any dispute arising out of or in connection with these Terms or the Service, except that Laneflow may bring an action to protect its intellectual property rights in any competent jurisdiction.

17. General

  • Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Laneflow regarding the Service and supersede any prior agreements, communications or proposals on the subject.
  • Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
  • No waiver. A failure or delay by Laneflow to enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. Laneflow may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of substantially all of its assets.
  • No third-party beneficiaries. Except as expressly stated, these Terms do not create any rights for any third party.
  • Headings. Section headings are for convenience only and shall not affect interpretation.
  • Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
